A takeover battle for Australian property operator Ingenia Communities has intensified after AVID Property Group matched an improved A$2.24 billion (US$1.57 billion) offer from American investment firm Warburg Pincus. The competing proposals, disclosed on 2 November, have pushed Ingenia's shares to their highest level in almost 11 months as investors anticipate a possible contest for control of the residential communities business.

AVID increased its proposal to A$5.50 per security in total consideration, matching Warburg Pincus's revised offer made on 28 October. The price represents a 15.5% premium to Ingenia's closing share price before AVID made its initial approach. The latest proposal includes provision for a distribution of up to five Australian cents per security, bringing the competing offers to equivalent overall values.

Ingenia's board has yet to recommend either proposal and continues to pursue its separate acquisition of residential property developer Peet. That transaction, announced in August, valued Peet at approximately A$992.5 million. The simultaneous negotiations leave directors weighing the immediate certainty of a potential cash takeover against the longer-term investment case for expanding Ingenia through another acquisition.

The competing bids reflect growing interest in Australia's residential communities sector, particularly properties serving older residents and households seeking alternative housing arrangements. For Ingenia shareholders, the central question is whether accepting a premium today offers greater value than remaining invested in an expanded business. With both takeover proposals still non-binding, further negotiations could determine whether either bidder can secure board support.
